Terms of Use — OCD Management

Please read these Terms of Use carefully before accessing or using the OCD Management website, client portal, or any associated services. Your access to and use of our services constitutes your agreement to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the OCD Management client portal, website, or any associated services, you agree to be bound by these Terms of Use. These Terms constitute a legally binding agreement between you and OCD Management LLC.

2. Description of Services

OCD Management provides premium construction project management services, including project planning, scheduling, budget oversight, subcontractor coordination, document management, and client communication. The client portal provides registered clients with secure, real-time access to project updates, documents, and direct communication with our team.

3. Account Registration and Portal Access

To access the client portal, you must register for an account and receive activation from OCD Management. You are responsible for maintaining the confidentiality of your account credentials. Portal access is personal, non-transferable, and limited to the individual Client for whom it was created.

4. Confidentiality of Project Information

All project data, documents, schedules, budgets, communications, and any other information made available through the portal is strictly confidential. You agree not to share, publish, or disclose Project Information to any third party without prior written consent of OCD Management.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not attempt to gain unauthorized access, transmit malicious code, or impersonate any person or entity.

6. Intellectual Property

All content, design, graphics, logos, and materials on the OCD Management website and portal are the property of OCD Management LLC or its content suppliers and are protected by applicable intellectual property laws.

7. Data Privacy and Security

OCD Management is committed to protecting your personal information. We collect, store, and use personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described therein.

8. Documents and File Uploads

The portal may allow you to upload, store, and share documents and files in connection with your project. You represent and warrant that you have all necessary rights to upload any such content and that doing so does not violate any third-party rights. OCD Management reserves the right to remove any content that violates these Terms or applicable law. You are solely responsible for maintaining backup copies of any documents you upload.

9. Limitation of Liability

To the fullest extent permitted by applicable law, OCD Management LLC, its officers, directors, employees, agents, and contractors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from or in connection with your use of, or inability to use, the Services. In no event shall OCD Management's total liability to you exceed the amounts paid by you to OCD Management in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. OCD Management does not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Any reliance you place on the Services is strictly at your own risk.

11. Indemnification

You agree to indemnify, defend, and hold harmless OCD Management LLC and its officers, directors, employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including any intellectual property or privacy rights; or (d) any content you upload or transmit through the Services.

12. Termination

OCD Management may terminate or suspend your access to the Services at any time, without prior notice or liability, for any reason whatsoever, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Utah County, Utah.

14. Changes to These Terms

OCD Management reserves the right to modify these Terms at any time. When we make changes, we will update the "Effective Date" at the top of this page and, where appropriate, notify you by email or through the portal. Your continued use of the Services following the posting of revised Terms means you accept and agree to the changes.
